These Terms and Conditions ("Terms") govern access to and use of the website located at store.goodshepherdrx.com and any related services (collectively, the "Site") operated by Good Shepherd Health Corporation ("Company," "we," "us," or "our"), doing business as Good Shepherd Stores. By using the Site, you agree to these Terms.

1. Website Use

The Site is provided for business procurement of pharmacy fixtures, equipment, technology, signage, and related services. You agree to use the Site only for lawful business purposes and in accordance with these Terms.

2. Account Registration

Certain features require an account. You agree to provide accurate, current, and complete information, to keep credentials confidential, and to be responsible for all activity under your account.

3. Product Information

Product descriptions, specifications, images, dimensions, finishes, and availability are provided for informational purposes and may vary by model, configuration, or vendor. Final specifications are governed by manufacturer documentation and the approved quote or order.

4. Pricing Errors

Prices are subject to change without notice. We reserve the right to correct pricing errors and to cancel or adjust orders affected by an obvious pricing or description error.

5. Quote Validity

Written quotes are valid for the period stated on the quote. Quotes are subject to product availability, vendor confirmation, freight review, taxes, installation conditions, and final written approval.

6. Order Acceptance

An online order submission does not constitute final acceptance. Orders may remain subject to product availability, pricing confirmation, payment approval, shipping review, installation review, and written acceptance.

7. Payment Obligations

Payment is due according to the payment method and terms shown at checkout or in the applicable quote. Late payments may accrue interest and collection costs to the extent permitted by law.

8. Taxes

Prices exclude applicable sales, use, excise, and similar taxes unless expressly stated. Customer is responsible for taxes unless a valid exemption certificate is provided and accepted.

9. Purchase Orders

Purchase orders are accepted from approved accounts subject to credit review. Purchase-order terms that conflict with these Terms are not binding unless expressly accepted in writing.

Financing options may be provided by third-party lenders. See the Financing Disclosure for details.

11. Shipping, Freight, and Delivery

Shipping and freight terms are described in the Shipping Policy. Estimated lead times are not guaranteed unless expressly stated in writing.

12. Returns

Returns are subject to the Return Policy. Custom, made-to-order, installed, opened sterile, special-order, and configured products may be nonreturnable.

13. Warranties

Product warranties are described in the Warranty Policy. Warranties are provided by manufacturers or vendors and vary by product.

14. Installation

Installation services are governed by the Installation Terms and the applicable approved order or agreement.

15. Custom Products

Custom fixtures, casework, signage, and configured technology are produced to customer specifications and are nonreturnable and non-cancellable once production begins.

16. Intellectual Property

All content on the Site, including text, graphics, logos, product data, images, and software, is owned by or licensed to the Company and is protected by intellectual-property law. You may not copy, modify, distribute, or create derivative works without prior written permission.

17. User Content

By submitting content to the Site (including quote requests, uploaded documents, and account information), you grant the Company a non-exclusive, worldwide license to use such content to provide the services.

18. Prohibited Use

You agree not to use the Site to infringe intellectual-property rights, transmit malicious code, misrepresent identity, scrape or reverse-engineer the Site, or violate applicable law.

19. Disclaimer of Warranties

THE SITE AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH USE OF THE SITE. TOTAL AGGREGATE LIABILITY FOR CLAIMS RELATED TO A PARTICULAR ORDER SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THAT ORDER.

21. Indemnification

You agree to indemnify and hold harmless the Company and its affiliates from and against any claims, damages, and expenses arising out of your breach of these Terms or misuse of the Site.

22. Dispute Resolution

The parties will attempt in good faith to resolve any dispute through informal negotiation. Any unresolved dispute shall be resolved in accordance with the governing law and venue below.

23. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. Exclusive venue for any action shall lie in the state and federal courts located in Montgomery County, Pennsylvania, and you consent to personal jurisdiction in those courts.

24. Changes to Terms

We may update these Terms from time to time. Continued use of the Site after posting constitutes acceptance of the updated Terms. The "Last updated" date at the top of this page reflects the current version.
